1. Acceptance of Terms
By accessing or using the ZCMarketing Keyword Planner App (“App”), you agree to these Terms of Service (“Terms”). If you are using the App on behalf of an organisation, you confirm that you are authorised to bind that organisation to these Terms. If you do not agree, you must not use the App.
2. Eligibility
- The App is restricted to ZCMarketing staff members and authorised collaborators only.
- You must keep login credentials and OAuth tokens secure and not share access with unauthorised parties.
- You are responsible for any activity carried out under your account.
3. Purpose of the App
The App is designed to assist ZCMarketing staff with keyword research by retrieving monthly keyword volumes via the Google Ads API and connecting these to SEO and campaign groupings for client work.
4. Permitted Use
- Use the App only for legitimate business purposes in connection with ZCMarketing projects and client services.
- Comply with all applicable laws, regulations, and Google’s API Services Terms and Policies.
- Do not attempt to bypass rate limits or security measures.
5. Prohibited Conduct
- No reverse engineering, copying, or redistribution of the App.
- No use of App data for unauthorised advertising, resale, or personal gain.
- No attempts to interfere with, damage, or disrupt the App or its integrations.
6. Third-Party Services
The App integrates with Google services such as the Google Ads API. Your use of these features is also subject to Google’s applicable terms and policies. ZCMarketing is not responsible for the availability or performance of third-party services.
7. Intellectual Property
- The App and its underlying code, design, and documentation are the property of ZCMarketing.
- We grant you a limited, non-transferable licence to use the App for business purposes while employed or engaged by ZCMarketing.
- You retain ownership of your own client work product created using the App.
8. Privacy
Our collection and use of personal information are governed by our Privacy Policy. By using the App, you consent to the processing of your data in accordance with that policy.
9. Availability and Updates
We may modify, suspend, or discontinue the App (or any features) at any time. We will take reasonable steps to notify staff of significant changes that affect core functionality.
10. Disclaimer of Warranties
The App is provided “as is” and “as available.” To the maximum extent permitted by law, we disclaim all warranties, including but not limited to accuracy, reliability, fitness for a particular purpose, or non-infringement. Keyword data from Google may be delayed, unavailable, or inaccurate.
11. Limitation of Liability
To the fullest extent permitted by law, ZCMarketing will not be liable for any indirect, incidental, or consequential damages arising from use of the App. Our total liability for any claim under these Terms is limited to NZD $100.
12. Indemnification
You agree to indemnify and hold harmless ZCMarketing, its employees, and contractors from claims or liabilities resulting from your misuse of the App or breach of these Terms.
13. Termination
- We may suspend or terminate your access at any time if you breach these Terms, present a security risk, or misuse the App.
- Upon termination, your right to use the App ceases immediately.
14. Governing Law
These Terms are governed by the laws of New Zealand. Any disputes shall be resolved in the courts of New Zealand.
15. Changes to These Terms
We may update these Terms from time to time. Updates will be effective once posted. Continued use of the App after updates means you accept the revised Terms.
